Introduction
Sona Financial, LLC is registered with the State of Minnesota as an investment adviser. Brokerage and investment advisory services and fees differ, and it is important for you to understand these differences.

Relationships and Services
We offer investment advisory services to retail investors (individuals and families), including:
- Discretionary portfolio management (AUM) with a written Investment Policy Statement
- Financial planning (included with AUM)
- Subscription-based planning/strategic oversight (no discretionary trading)
- One-time planning engagements (e.g., Retirement Clarity Review)
- Business-owner advisory/exit planning (CEPA®/EPI-aligned)
- Management of certain held-away retirement plans via Pontera
Monitoring: Managed portfolios are monitored at least annually and when material changes occur. Subscription and one-time engagements include advice as defined in the engagement; ongoing monitoring is not included unless separately agreed.
Investment Authority: For AUM and Pontera-managed accounts, you typically grant discretionary authority consistent with your IPS. You may impose reasonable written restrictions.
Minimums: New AUM relationships generally require $750,000. A minimum annual household fee (typically $9,000–$30,000) may apply based on complexity.

Fees and Costs
You will pay fees whether you make or lose money. Fees reduce investment returns over time.
AUM Fees (billed quarterly in advance; tiered and calculated separately):
- First $1,000,000: 0.95%
- Next $2,000,000: 0.80%
- Over $3,000,000: Negotiated
Subscription (no discretion): Typically $9,000–$30,000 annually.
One-Time Planning: Typically $2,500–$30,000 depending on scope.
Business-Owner Advisory: ~$6,000 initial assessment; projects typically $15,000–$30,000; ongoing retainer by scope.
Strategic Oversight (held-away without discretion): Typically $10,000–$30,000 annually.
Other costs include fund/ETF expenses, custodian fees, and transaction charges. We do not receive these fees. We do not charge performance-based fees or offer wrap programs.
Billing & Custody: Fees are generally deducted from the specific account(s) designated for billing. We do not use SLOAs to move funds. Pontera plan fees may be billed directly by the plan custodian.
Because AUM fees are asset-based, we have an incentive to encourage assets under management. We mitigate this through our fiduciary duty and disclosure.

Conflicts of Interest, Standards of Conduct, and Compensation
We are fiduciaries and must act in your best interest. Conflicts may arise:
- We receive platform benefits from custodians (technology, research, practice tools), creating an incentive to recommend them.
- Our AUM fee creates an incentive to increase managed assets.
We do not receive commissions, third-party compensation, or soft dollars. We do not act as a broker-dealer and do not charge performance-based fees.
We address conflicts through disclosure, policies and procedures, and our fiduciary obligation to seek best execution.
